We specialise in connecting clients with Chinese suppliers and manufacturers. Our Services include:
- Supplier research and verification
- Organisation of business trips, translation, and negotiation support
- Ongoing relationship management
- Order facilitation and logistics coordination
All Services are provided on a best-effort basis. While we strive for accuracy, reliability, and quality, we do not guarantee specific outcomes or supplier performance.
2. No Agency or Legal Representation
Unless explicitly agreed in writing, we act solely as an intermediary and consultant. We do not represent, act as an agent for, or enter into contracts on behalf of you or any supplier. Any contractual relationship is directly between you and the supplier.
3. Supplier Verification
We conduct reasonable checks on supplier profiles, certifications, product ranges, and arrange factory visits upon request. However, as this information is provided by third parties, we cannot guarantee its accuracy or future conduct of any supplier. We are not liable for losses arising from supplier actions or omissions.
4. Fees and Payments
All fees and retainers will be agreed upon in writing prior to commencement. Payments must be made in accordance with the terms stated on our invoices. Retainers, once work has commenced, are non-refundable.
5. Client Responsibilities
You are responsible for providing accurate and complete information required to deliver our Services. Final decisions, including supplier selection, order terms, and contractual agreements, remain solely your responsibility.
6. Limitation of Liability
To the fullest extent permitted by law, Jade Qube Connect is not liable for any direct, indirect, incidental, or consequential losses arising from:
- Supplier actions or omissions
- Business decisions based on our research or recommendations
- Delays, disruptions, or circumstances beyond our control
Our total liability is limited to the total fees paid by you for the specific Services in question.
7. Confidentiality
We treat all non-public information shared by you as confidential and will not disclose it to third parties except where required to perform our Services or as required by law.
8. Intellectual Property
All materials, reports, research, and documentation provided by us remain our intellectual property unless agreed otherwise in writing. You are granted a non-exclusive, non-transferable licence to use them solely for your internal business purposes.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
